1. Acceptance of these Terms
By accessing or using Kommissions, including this website, demo materials, hosted application, documentation, or related services, you agree to these Terms of Use. If you use Kommissions on behalf of an agency, brokerage, BGA, MGA, or other organization, you represent that you have authority to bind that organization to these Terms.
2. The Kommissions service
Kommissions is a commission lifecycle platform intended to help insurance organizations import carrier statements, maintain policy and producer data, calculate expected commissions, reconcile actual payments, manage exceptions, prepare payout workflows, support disputes, and produce reporting. Kommissions does not replace professional accounting, tax, insurance regulatory, payroll, banking, or legal advice.
3. Accounts and authorized users
Customers are responsible for maintaining accurate account information, assigning appropriate user roles, safeguarding login credentials, and promptly disabling access for users who no longer require the service. You are responsible for activity that occurs under your workspace, including activity by invited users, administrators, producers, team leads, finance staff, and operations personnel.
4. Customer data
Customer Data means information submitted to Kommissions by or on behalf of a customer, including policy records, carrier statement rows, producer records, compensation rules, hierarchy data, payout records, dispute information, documents, notes, and related financial or operational data. As between you and Kommissions, you retain ownership of your Customer Data.
You grant Kommissions permission to host, process, transmit, display, and analyze Customer Data as needed to provide, secure, support, and improve the service. You are responsible for ensuring that you have the rights and permissions needed to submit Customer Data to Kommissions.
5. Acceptable use
You agree not to use Kommissions to:
- violate applicable laws, regulations, contractual duties, or third-party rights;
- upload malicious code, attempt unauthorized access, or interfere with service integrity;
- reverse engineer, scrape, copy, or misuse the service except as permitted by law;
- submit data you are not authorized to process;
- misrepresent commission, tax, licensing, payout, or compliance information;
- use the service to make final legal, tax, payroll, or regulatory decisions without professional review.
6. Subscription, billing, and payment
If Kommissions is offered under a paid subscription, fees, plan limits, billing cycles, renewal terms, taxes, usage limits, and cancellation rights will be described in the applicable order form, subscription agreement, or checkout flow. Unless a separate written agreement states otherwise, fees are non-refundable except where required by law.
7. Product changes and availability
Kommissions may update, improve, suspend, or discontinue parts of the website or service from time to time. We aim to provide reliable access, but we do not guarantee uninterrupted availability, error-free operation, or that every feature will remain available in the same form.
8. Intellectual property
Kommissions, including its software, product design, workflows, documentation, logos, trademarks, content, and related materials, is owned by Kommissions or its licensors. These Terms do not transfer any ownership rights to you. You may use the service only as permitted by these Terms or a separate written agreement.
9. Feedback
If you provide ideas, suggestions, or feedback, you grant Kommissions a non-exclusive, worldwide, royalty-free right to use that feedback to improve the website, product, services, and related materials without obligation to compensate you.
10. Third-party services and integrations
Kommissions may integrate with third-party services such as authentication providers, cloud hosting, file storage, email delivery, payment processors, analytics providers, AMS or CRM systems, and banking or export tools. Your use of third-party services may be governed by separate terms and privacy policies.
11. Disclaimers
Kommissions is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Commission outputs should be reviewed by qualified business, finance, compliance, tax, or legal professionals before being relied upon for final business decisions.
No Financial or Tax Advice
Kommissions is a commission tracking and reconciliation platform. Nothing in the service constitutes financial, accounting, tax, legal, or regulatory advice. Commission calculations, 1099-NEC forms, payout figures, and reconciliation outputs are provided as informational tools only. You are solely responsible for verifying all figures with your carriers, accountants, and licensed tax professionals before filing, distributing, or relying upon them for any business, regulatory, or legal purpose.
No Payment Processing
Kommissions does not process, hold, transmit, or settle funds on your behalf. NACHA ACH export files generated by the platform are provided for submission to your own financial institution or payroll processor. Kommissions is not a bank, payment processor, money transmitter, or licensed financial institution, and accepts no responsibility for payment execution, bank errors, or rejected ACH entries.
Data Accuracy
The accuracy of commission calculations, reconciliation results, and reports depends entirely on the data you and your carriers provide. Kommissions does not independently verify carrier statement accuracy. Discrepancies between carrier-reported figures and your internal records are the responsibility of the parties involved. You should maintain independent records and reconcile Kommissions outputs against your source documents regularly.
1099-NEC Tax Forms
The 1099-NEC generation feature produces draft tax forms based on payout records in your workspace. These forms are not filed with the IRS by Kommissions. You are responsible for reviewing all figures, correcting any errors, filing with the IRS by the applicable deadline, and distributing copies to recipients. Kommissions makes no representation that generated forms meet current IRS requirements. Consult a licensed tax professional before filing.
Licensing Compliance
Licensing expiration alerts and compliance tracking features are provided as administrative aids only. Kommissions does not guarantee that all regulatory requirements, license renewal deadlines, or continuing education obligations are accurately reflected. You are solely responsible for maintaining valid licenses and complying with applicable state insurance department requirements.
12. Limitation of liability
To the fullest extent permitted by law, Kommissions will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or reputational harm. Any aggregate liability will be limited to the amount paid for the service during the period stated in the applicable customer agreement, or, if no agreement exists, one hundred U.S. dollars.
13. Termination
We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, or use the service in a way that could harm Kommissions, customers, users, or third parties. Upon termination, your right to access the service ends, but provisions intended to survive termination will remain in effect.
14. Governing law and disputes
The governing law, venue, and dispute process should be finalized by legal counsel based on the operating entity, customer geography, and contracting model. Until finalized, these Terms should not be used as a production legal agreement.
15. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will use reasonable efforts to provide notice through the website, application, email, or other appropriate channel. Continued use after changes become effective means you accept the updated Terms.
